These Terms & Conditions (the "Terms") govern your access to and use of the Talkzen platform, including the websites talkzen.io and app.talkzen.io and any related services (collectively, the "Service") operated by Talkzen ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.
01Acceptance of Terms
By creating an account, accessing or using the Service, you confirm that you have read, understood and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
02Definitions
- "User": any natural or legal person who registers, accesses or uses the Service.
- "Customer": a User who has purchased a paid subscription.
- "Content": any data, text, voice, files, conversations or materials submitted, generated or transmitted through the Service.
- "Plan": a subscription tier (Free, Starter, Professional, Enterprise) with its associated limits and features.
03Account and eligibility
To use the Service, you must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding contract. You agree to provide accurate, current and complete information and to keep your account credentials confidential. You are solely responsible for all activity that occurs under your account.
04Subscription, fees and billing
The Service is offered under different Plans. Current prices and limits are available at talkzen.io/pricing:
- Free: €0/month, limited resources.
- Starter: €29/month.
- Professional: €79/month.
- Enterprise: €199/month.
Paid Plans are billed monthly in advance. Fees are non-refundable except as expressly required by law. You authorise us (or our payment processor) to charge your chosen payment method on each billing cycle. We may change prices with at least 30 days' notice; price changes do not apply to the remaining portion of any pre-paid subscription period.
If a payment fails, we may suspend or downgrade the account after a reasonable grace period.
05Acceptable use
You agree NOT to use the Service to:
- Violate any applicable law or regulation;
- Send spam, unsolicited messages, or commercial communications without proper consent;
- Distribute malware, viruses or harmful code;
- Infringe third-party rights including intellectual property, privacy or publicity rights;
- Harass, defame, threaten or harm others;
- Generate content that is illegal, hateful, sexually explicit involving minors, or otherwise harmful;
- Reverse engineer, decompile, scrape or attempt to extract source code;
- Circumvent any technical limitations, security measures or usage limits;
- Resell or sublicense the Service without our written authorisation.
We may suspend or terminate accounts that violate this section, with or without prior notice.
06Your content and data
You retain all ownership of the Content you submit to the Service. You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, process, transmit and display your Content solely as necessary to provide the Service.
You represent that you have all rights and permissions required to submit your Content and that it does not violate these Terms or any third-party rights. You are responsible for backing up your Content; while we maintain reasonable backups, we are not a backup service.
07Intellectual property
The Service — including software, design, trademarks, logos, documentation and all related intellectual property — is owned by Talkzen and protected by applicable laws. Nothing in these Terms transfers any IP rights to you, except for the limited right to use the Service in accordance with these Terms.
08Third-party services
The Service may integrate with or rely on third-party services (e.g. WhatsApp, Meta platforms, payment processors, AI providers, hosting providers). Your use of those services is subject to the third party's own terms. We are not responsible for the availability, content, behaviour or policies of any third-party service.
09Service availability and modifications
We aim to provide high availability but do not guarantee uninterrupted service. Maintenance, updates, third-party outages or force majeure events may affect availability. Enterprise Plans benefit from a contractual SLA where applicable.
We may modify, suspend or discontinue any feature of the Service, at any time and at our sole discretion, providing reasonable notice for material changes affecting paid users.
10Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by applicable law. AI-generated content may contain inaccuracies; you remain responsible for reviewing and validating outputs before relying on them.
11Limitation of liability
To the maximum extent permitted by law, in no event shall Talkzen, its affiliates, officers, employees or partners be liable for:
- Indirect, incidental, special, consequential or punitive damages;
- Loss of profits, revenue, data, business opportunities or goodwill;
- Damages exceeding the total amount paid by you to Talkzen in the 12 months preceding the event giving rise to liability.
Nothing in these Terms limits liability for gross negligence, wilful misconduct, death or personal injury, or any other liability that cannot be limited under applicable law.
12Termination
You may terminate your account at any time from the dashboard or by contacting support@talkzen.io. We may suspend or terminate your access for breach of these Terms, non-payment, illegal activity or extended inactivity, with reasonable notice where appropriate. Upon termination, your right to use the Service ceases immediately; we may retain certain data as required by law (see Privacy Policy, §7).
13Governing law and jurisdiction
These Terms are governed by the laws of Italy, without regard to conflict of laws principles. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Milan, Italy, except where mandatory consumer protection laws grant you additional rights.
14Changes to these Terms
We may update these Terms from time to time. Material changes will be announced via email or a notice on the Service at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
